1. Acceptance of Terms
By accessing, browsing, or using Scalar Finance (the "Service"), whether through a web browser, mobile application, API, or any other means, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you must immediately cease using the Service. These Terms constitute a legally binding agreement between you ("User", "you", "your") and Scalar Establishment, CR No. 7052673469, ("Company", "we", "us", "our"), a sole proprietorship registered in the Kingdom of Saudi Arabia, which develops and operates the Scalar Finance application. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Scalar Finance is a cloud-based Software-as-a-Service (SaaS) multi-currency accounting and financial management platform. The Service provides the following features, which may be updated, expanded, or modified over time: transaction tracking and categorization; multi-currency accounts management; budgeting tools; recurring payment scheduling and management; investment portfolio tracking including stocks, ETFs, mutual funds, and crypto assets; dividend tracking and income monitoring; real-time and historical stock quotes and market data; financial reports and analytics dashboards; bank and exchange account connections via third-party integrations; data import and export capabilities; multi-user workspace management with role-based access controls; audit logging; and related features. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We do not guarantee any specific uptime, availability, or support response times unless explicitly stated in a separate written agreement. The Service is not intended to replace professional accounting, tax, or financial advice.
3. Financial Information Disclaimer
Scalar Finance provides financial tracking, analytics, and informational tools only. The Service does not provide financial, investment, tax, accounting, or legal advice. Any financial data, market information, price feeds, analytics, projections, or insights provided through the Service are for informational purposes only and should not be considered professional advice. You should consult a qualified financial advisor, accountant, or other professional before making any financial decisions based on information displayed in the Service. Scalar Finance shall not be responsible for any financial losses, investment decisions, or tax consequences resulting from the use of the Service.
4. Market Data Accuracy Disclaimer
Market data, price feeds, and financial information provided through the Service may be delayed, incomplete, or inaccurate and are supplied by third-party providers. Scalar Finance does not guarantee the accuracy, completeness, or timeliness of any market data displayed within the Service. You acknowledge that real-time data may be subject to delays imposed by data providers, exchanges, or network conditions. Scalar Finance shall not be liable for any decisions made or actions taken based on market data displayed through the Service.
5. Accounts & Registration
You must be at least eighteen (18) years of age to use the Service. By using Scalar Finance, you represent and warrant that you are at least 18 years old. To use certain features of the Service, you must create an account and provide accurate, complete, and current information. You are solely responsible for: (a) maintaining the confidentiality of your login credentials; (b) all activities that occur under your account, whether or not authorized by you; (c) ensuring that your account information remains accurate and up to date. You must notify us immediately at SF@scalerfinance.ai of any unauthorized use of your account or any other breach of security. Scalar Finance shall not be liable for any loss or damage arising from your failure to comply with this section. We reserve the right to refuse registration, cancel accounts, or remove content at our sole discretion.
6. Subscriptions & Payments
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis (monthly or annually, as selected). Subscription fees are billed in advance through our payment processor, Paddle. Payments are processed by Paddle, which acts as the Merchant of Record for subscription transactions. Paddle may appear on your billing statements and handles applicable sales tax, VAT, and payment processing obligations on behalf of Scalar Finance. Paddle may handle billing inquiries, chargebacks, and refund processing in accordance with its policies. Applicable taxes (including VAT) are automatically determined based on your location: in some regions taxes are included in the displayed price, while in others they are added at checkout, in accordance with local tax regulations. We reserve the right to change subscription fees at any time upon reasonable prior notice. If you do not agree with a fee change, your sole remedy is to cancel your subscription before the new fee takes effect. Failure to pay subscription fees may result in suspension or termination of your access to paid features. Plan Changes: You may upgrade or downgrade your subscription plan at any time through your account settings. Upgrades take effect immediately with a prorated charge for the remainder of your current billing period. Downgrades take effect at the end of your current billing period — you retain access to your current plan's features until that date. Plan cancellations take effect at the end of the current billing period; no partial refunds are issued for the remaining time.
7. Refund Policy
Refund requests are handled on a case-by-case basis and are subject to the following conditions: (a) Eligible Refund Window: You may request a refund within fourteen (14) calendar days of your initial subscription purchase only. This 14-day window applies exclusively to first-time subscriptions and does not apply to subscription renewals, plan upgrades, plan downgrades, or any subsequent billing cycles. (b) Conditions for Refund: To be eligible for a refund, you must not have substantially used the Service during the refund window. Substantial use includes, but is not limited to, creating more than five (5) transactions, connecting third-party accounts, inviting team members, or generating reports. (c) Renewal Charges: All subscription renewal charges are final and non-refundable. Subscriptions automatically renew at the end of each billing cycle. It is your responsibility to cancel your subscription before the renewal date if you do not wish to be charged for the next period. (d) No Partial Refunds: There are no refunds or credits for partial periods of service, unused time on an active subscription, or differences in plan pricing due to upgrades or downgrades. (e) How to Request: You may submit a refund request through the Subscription page in your account dashboard by selecting the relevant transaction and providing a reason. Alternatively, you may contact us at SF@scalerfinance.ai. All refund requests are reviewed by our team and decisions are at our sole discretion. (f) Payment Processor: Approved refunds will be processed through our payment processor, Paddle, and returned to your original payment method. Processing times depend on your payment method and financial institution, and may take 5–10 business days. (g) Cancellation Without Refund: If you cancel your subscription outside the 14-day refund window, or if you are not eligible for a refund, you will retain access to paid features until the end of your current billing period, after which your account will revert to the free tier. No refund or credit will be issued in this case.
8. Acceptable Use
You agree not to: (a) use the Service for any unlawful, fraudulent, or unauthorized purpose; (b) upload, transmit, or distribute any viruses, malware, or other malicious code; (c) attempt to gain unauthorized access to other users' accounts, our servers, or any connected systems; (d) interfere with or disrupt the integrity, security, or performance of the Service; (e) use the Service in any manner that could damage, disable, overburden, or impair our infrastructure; (f) use automated tools, bots, or scrapers to access the Service without our written permission; (g) reverse engineer, decompile, or disassemble any aspect of the Service; (h) use the Service to store or transmit content that infringes upon the rights of any third party; (i) use virtual private networks (VPNs), proxies, or other tools to intentionally misrepresent your geographic location for the purpose of obtaining pricing, tax rates, or currency conversions not applicable to your actual location. Violation of this section may result in immediate account suspension or termination without notice or refund.
9. Intellectual Property
The Service, including but not limited to its source code, object code, design, layout, user interface, graphics, logos, trademarks, text, features, and functionality, is and remains the exclusive property of Scalar Finance and its licensors, and is protected by copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, adapt, translate, distribute, sell, lease, sublicense, or create derivative works based on any part of the Service without our prior written consent. You retain all ownership rights to the financial data, content, and information you enter into the Service. By using the Service, you grant us a limited, non-exclusive license to use your data solely for the purpose of providing and improving the Service.
10. Data & Security Disclaimer
While we implement commercially reasonable security measures to protect your data, including encryption at rest and in transit, access controls, and regular security reviews, NO METHOD OF TRANSMISSION OVER THE INTERNET OR ELECTRONIC STORAGE IS 100% SECURE. We expressly do not guarantee the absolute security of your data. In the event of a data breach, unauthorized access, hacking incident, system compromise, data loss, data corruption, or any other security event, whether caused by external attacks, internal failures, human error, or any other cause, Scalar Finance shall not be liable, to the maximum extent permitted by applicable law, for any loss, damage, compromise, or exposure of your data, including but not limited to financial data, personal information, or any other data stored within the Service. You use the Service and store your data entirely at your own risk. It is your responsibility to maintain independent backups of your critical data.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCALAR FINANCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; (D) ANY CONTENT OBTAINED FROM THE SERVICE; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE LESSER OF: (I) THE AMOUNTS YOU ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE HUNDRED US DOLLARS (USD $100). THIS LIMITATION APPLIES REGARDLESS OF THE FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Scalar Finance and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and legal costs) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party rights; (d) any content or data you submit, post, or transmit through the Service; (e) your negligence or willful misconduct. This indemnification obligation shall survive the termination of these Terms and your use of the Service.
13. Account Suspension & Restriction
We reserve the right, at our sole discretion, to suspend, restrict, or limit your access to the Service, temporarily or permanently, with or without prior notice, if we reasonably believe that: (a) you have violated any provision of these Terms; (b) your account activity poses a security risk to the Service or other users; (c) your use of the Service may expose Scalar Finance to legal liability; (d) your account is being used for fraudulent or illegal activity; or (e) it is required by law or a valid legal process. During any suspension, you may not be able to access your data or any features of the Service. We shall not be liable for any loss or damage resulting from any suspension or restriction of your account.
14. Termination
We reserve the right to terminate your account at any time, with or without cause, and with or without notice. You may also delete your account at any time through your account settings. Upon termination: (a) your right to use the Service will immediately cease; (b) we may delete your data after a reasonable retention period, unless we are required by law to retain it; (c) you will not be entitled to any refund of fees paid, regardless of the reason for termination; (d) any provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.
15. Data Protection
Our collection, use, storage, and processing of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy. We process personal data in accordance with the Saudi Personal Data Protection Law (PDPL) and other applicable data protection regulations. You are responsible for ensuring that any personal data you submit to the Service has been collected and is provided to us in compliance with all applicable privacy and data protection laws.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE QUALITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SERVICE IS ACCESSED AT YOUR OWN RISK, AND YOU SHALL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR LOSS OF DATA. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM SCALAR FINANCE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
17. Force Majeure
Scalar Finance shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, accidents, strikes, labor disputes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information technology infrastructure, hacking, cyber-attacks, power outages, governmental actions, or any other force majeure event. In such cases, our obligations shall be suspended for the duration of the force majeure event.
18. Third-Party Links & Services
The Service may contain links to or integrate with third-party websites, platforms, services, or applications (including but not limited to payment processors, bank connection providers, market data providers, exchange APIs, and broker APIs). These third-party services are not under our control, and we are not responsible for their content, privacy practices, security, availability, or accuracy. The inclusion of any link or integration does not imply endorsement or approval by Scalar Finance. Your interactions with third-party services are solely between you and the third party, and Scalar Finance shall not be liable for any loss or damage arising from such interactions.
19. Export Controls & Sanctions
You may not use the Service if you are located in a country subject to international sanctions or trade restrictions, or if you are listed on any government sanctions list, including sanctions applicable in Saudi Arabia, the United States, the United Kingdom, and the European Union (as applicable). By using the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country, and that you are not on any restricted party list. Scalar Finance reserves the right to restrict access to the Service from sanctioned jurisdictions without notice.
20. Changes to These Terms
We reserve the right to modify, update, or revise these Terms at any time at our sole discretion. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice through the Service or by email. It is your responsibility to review these Terms periodically. Your continued use of the Service after any changes to these Terms constitutes your binding acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Service immediately.
21. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the competent courts in the Kingdom of Saudi Arabia. You irrevocably consent to the personal jurisdiction of such courts and waive any objection to venue or jurisdiction.
22. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.
